Acceptance of Terms & Eligibility
By creating an account, connecting a WhatsApp Business Account (WABA), uploading a restaurant menu, or accessing any module of AuraDine (a product powered by Zubitics AI), you acknowledge that you have read, understood, and agreed to be bound by these Terms of Service.
If you represent a business entity (restaurant, hospitality group, or agency), you warrant that you possess the legal authority to bind that entity to these Terms.
AuraDine Service Description
AuraDine is an enterprise Software-as-a-Service (SaaS) platform that automates hospitality operations through:
- Autonomous WhatsApp AI Concierge: 24/7 natural-language table reservations, waitlists, food recommendations, and FAQ resolution.
- Cloud POS & KOT Billing: Real-time table status tracking, digital billing receipts, delivery management, and discount automation.
- Floor & Guest Management: Visual table layout configuration, occupancy metrics, and Google Sheets bi-directional sync.
- Event Ticketing & Passes: Digital QR entry passes, stag/couple count tracking, and payment link generation.
- WhatsApp Marketing Suite: Automated guest re-engagement broadcasts, opt-in template creation, and analytics.
Account Security & Staff Roles
The Restaurant Partner is solely responsible for maintaining the confidentiality of administrative credentials and staff PINs. You agree to notify AuraDine immediately at [email protected] upon discovering any unauthorized login or security breach. AuraDine shall not be liable for losses caused by compromised staff credentials.
Subscriptions, Billing & AuraDine Bites
A. Subscription Plans & 30-Day Billing Cycles
AuraDine software subscriptions (Starter, Growth, Pro, Enterprise) operate on recurring cycles. One standard billing cycle is defined as exactly thirty (30) calendar days from the date of activation or renewal.
Non-Refundable Policy: Once a subscription is purchased or renewed, it is strictly non-refundable. No partial or prorated refunds will be issued for early cancellation or unused days during an active 30-day billing cycle. B. AuraDine Bites (WhatsApp Messaging Credits)
WhatsApp Business messaging costs (utility receipts, marketing broadcasts, and authentication OTPs) operate on prepaid AuraDine Bites (1 Bite = ₹0.18 INR). Bites are deducted per message dispatched according to Meta's published rate card. Prepaid Bites are non-refundable once purchased.
C. Taxes & Invoicing
All fees are exclusive of applicable Indian Goods and Services Tax (GST 18%), which will be added at checkout where required by law.
Intellectual Property & Ownership
- Zubitics AI Intellectual Property: Zubitics AI retains all rights, title, copyright, trade secrets, software code, UI designs, system architectures, prompt chains, model weights, and patents embodied in the AuraDine platform. You receive only a revocable, non-transferable license to access the SaaS.
- Restaurant Content: The restaurant retains ownership of all logos, dish photography, custom recipe descriptions, and registered trademarks provided to AuraDine.
Data Storage, Real-Time AI Inference & Operational Telemetry
AI Concierge & Session Context GrantReal-Time Conversational AI & Operational Processing
The Restaurant Partner authorizes Zubitics AI and AuraDine to securely store, manage, and process conversational dialogues, reservation inquiries, guest interaction patterns, and menu ordering records strictly for the purpose of providing real-time AI concierge assistance, dining reservations, delivery management, and system operations.
You agree that this operational data is securely processed on our servers for:
- Real-Time Dialogue Generation & Prompt Context: Maintaining multi-turn conversation memory and contextual awareness during active diner ordering and table reservation inquiries to generate accurate, helpful responses.
- Operational Performance & Quality Benchmarking: Monitoring response latency, delivery confirmation rates, and workflow completion across hospitality interactions to maintain platform reliability.
- Restaurant Analytics & Inventory Telemetry: Generating aggregate insights for restaurant operators regarding peak ordering hours, popular menu items, and reservation occupancy.
- Meta Platform Policy Compliance: In strict compliance with Meta Platform Terms (Section 3.a.viii), Platform Data obtained through Meta WhatsApp Business APIs is strictly protected and is never used to build, train, or improve any third-party foundation machine learning models.
- Data Safeguards & Security: Sensitive financial credentials (such as payment card CVVs) are never stored or processed by our conversational systems. All operational data is protected with industry-standard encryption protocols.
WhatsApp & Anti-Spam Compliance
AuraDine strictly adheres to the Meta Business Messaging Policy and applicable telecom regulations:
- Restaurants must NOT dispatch unsolicited marketing broadcasts without documented user opt-in.
- Restaurants must immediately honor diner opt-outs (e.g., replies containing STOP, UNSUBSCRIBE).
- AuraDine reserves the right to immediately suspend any restaurant account that engages in abusive messaging, excessive spam complaints, or acts that jeopardize the platform's Meta WABA quality tier.
Service Level Targets (99.9% Uptime)
AuraDine targets a 99.9% service uptime across its core cloud infrastructure and real-time operational services.
This uptime target excludes scheduled maintenance (communicated in advance), upstream outages on third-party networks (such as Meta WhatsApp Cloud API outages, cloud provider network interruptions, or ISP telecommunications failures), and force majeure events.
AI Concierge Autonomous Disclaimers
AuraDine's AI Concierge uses advanced generative artificial intelligence to interface with diners in real-time. While our algorithms are calibrated for strict hospitality accuracy:
- AI responses are generated autonomously based on the restaurant's configured rules, menu items, and table states.
- The Restaurant Partner maintains ultimate operational authority over table confirmations, seating capacity, kitchen preparation, and billing calculations.
- Restaurant staff may override the AI at any time by toggling the conversation into "Manual Mode" within the AuraDine dashboard.
Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Zubitics AI, its founders, directors, employees, or affiliates be liable for any indirect, incidental, special, punitive, or consequential damages (including lost restaurant profits, revenue, food wastage, diner disputes, or business interruption) arising out of or in connection with the use of AuraDine.
Zubitics AI's total aggregate liability under any claim arising out of these Terms shall not exceed the actual fees paid by the Restaurant Partner to AuraDine during the three (3) months immediately preceding the event giving rise to liability.
Cancellation & Termination
You may cancel your AuraDine subscription at any time directly through the restaurant billing dashboard or by emailing [email protected].
To prevent being charged for subsequent periods, your cancellation must be completed before the start of the next 30-day billing cycle. Because subscriptions are non-refundable once purchased, cancelling mid-cycle will not generate a prorated refund, but you will retain uninterrupted access until the end of your currently paid 30-day cycle.
Upon termination of service, your account will enter a 30-day grace period during which you may export your customer reservation histories, billing records, and sales reports. Following the grace period, active operational tables and API credentials will be permanently retired in accordance with our Privacy Policy.
Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the substantive laws of India. Any dispute, claim, or controversy arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts in Pune, Maharashtra, India.
